  • Amended Articles of Incorporation – For corporations amending corporate name, purpose, capital structure, term, or other AOI provisions (filed with SEC)
  • Board Resolution or Stockholders' Resolution – Approving the amendment (requires majority of board and 2/3 of outstanding capital stock for most amendments)
  • Director's Certificate – Certifying board and stockholder approval of amendments
  • Secretary's Certificate – Certifying no intra-corporate disputes and designating authorized representatives
  • Updated DTI Certificate – For sole proprietorships changing business name, address, line of business, or capitalization
  • Proof of New Business Address – Contract of Lease or Transfer Certificate of Title for address changes
  • Valid Government-issued IDs – Of business owner or authorized representative
  • Authorization Letter or Special Power of Attorney – If using a representative (notarized)
  • Mayor's Permit – Updated permit reflecting changes for LGU amendment
  • Payment Receipts – For amendment processing fees at authorized agent banks or RDOs
